Welcome to Payvly ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our invoicing platform and services.

1. Acceptance of Terms

By accessing or using Payvly, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the service.

2. Description of Service

Payvly provides a cloud-based invoicing platform that enables businesses to create, send, and manage invoices, process payments, and manage client relationships.

3. User Accounts

3.1 Registration

You must provide accurate, complete, and current information
You are responsible for maintaining the confidentiality of your account credentials
You must be at least 18 years old to use this service
One person or legal entity may not maintain more than one free account

3.2 Account Security

You are responsible for all activities under your account
Notify us immediately of any unauthorized access
We reserve the right to terminate accounts that violate these Terms

4. Subscription Plans and Billing

4.1 Plans

Free Tier: Limited features with usage restrictions
Pro Tier: $12/month or $120/year - Unlimited invoices and templates
US Business Tier: $29/month or $290/year - Includes payment processing
Business Pro Tier: $59/month or $590/year - Full feature set

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis
All fees are non-refundable except as required by law
We reserve the right to change pricing with 30 days notice
Failed payments may result in service suspension

4.3 Automatic Renewal

Subscriptions automatically renew unless cancelled
Cancel anytime through your account settings
Cancellation takes effect at the end of the billing period

5. Payment Processing (US Business & Business Pro)

5.1 Stripe Connect

Payment processing is powered by Stripe
You must comply with Stripe's Terms of Service
We charge a platform fee of 0.6% (capped at ) on transactions.
Stripe charges standard processing fees (2.9% + $0.30)

5.2 Payouts

Funds are transferred to your connected bank account
Payout schedule determined by Stripe (typically 2 business days)
You are responsible for tax reporting on received payments

5.3 Disputes and Chargebacks

You are responsible for handling customer disputes
Chargeback fees may apply as per Stripe's terms
We reserve the right to hold funds in case of suspicious activity

6. Acceptable Use

6.1 Prohibited Activities

You may not use Payvly to:

Violate any laws or regulations
Infringe intellectual property rights
Transmit malicious code or viruses
Harass, abuse, or harm others
Engage in fraudulent activities
Sell illegal goods or services
Send unsolicited commercial emails (spam)
Impersonate others or misrepresent your affiliation

6.2 Content Standards

You are responsible for all content you create on the platform
Content must not be defamatory, obscene, or offensive
You grant us a license to use your content to provide services

7. Intellectual Property

7.1 Our Rights

Our trademarks and trade dress may not be used without permission

7.2 Your Rights

You retain all rights to your data and content
We do not claim ownership of your invoices or customer data
You grant us a limited license to process your data to provide services

8. Data and Privacy

You consent to data processing necessary to provide services

8.2 Data Security

We implement industry-standard security measures
No system is 100% secure; use the service at your own risk

8.3 Data Portability

You can export your data at any time
Upon account deletion, data is retained for 30 days then permanently deleted

9. Service Availability

9.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service
Scheduled maintenance will be announced in advance when possible

9.2 Modifications

We may modify or discontinue features with reasonable notice
We are not liable for any modification or discontinuation

10. Termination

10.1 By You

Cancel your account at any time through account settings
No refunds for unused time on paid plans

10.2 By Us

We may suspend or terminate accounts that violate these Terms
We may terminate free accounts inactive for 12+ months
We will provide notice when reasonably possible

10.3 Effect of Termination

Access to the service will be immediately revoked
You may export your data within 30 days
All provisions that should survive termination will survive

11. Disclaimers

11.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 No Tax or Legal Advice

Payvly does not provide tax, legal, or accounting advice. Consult with professionals for your specific situation.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Payvly, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
DAMAGES EXCEEDING THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS

13. Indemnification

You agree to indemnify and hold harmless Payvly from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your violation of these Terms
Your violation of any rights of another
Your use of the service

14. Dispute Resolution

18. Miscellaneous
